BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF NORTH
RICHLAND HILLS, TEXAS, THAT:
1.
The City Manager be, and is hereby authorized to execute the attached
Agreement for Engineering Services with LopezGarcia Group, Inc. for the design and
construction of the Wastewater System Rehabilitation, Contract "C" project as an act
and deed of the City.

PUBLIC WORKS CONTRACT
AGREEMENT FOR ENGINEERING SERVICES
This AGREEMENT is made and entered into this day of , 2007,
by and between THE CITY OF NORTH RICHLAND HILLS, hereinafter called the OWNER, and LOPEZGARCIA GROUP,
INC., a corporation hereinafter called the ENGINEER.
RECITALS
This AGREEMENT is applicable to the furnishing of Basic and Special Engineering Services by the ENGINEER to the
OWNER for the design and construction of WASTEWATER SYSTEM REHABILITATION, CONTRACT "C", hereinafter
called the PROJECT.
CONTRACTUAL UNDERTAKINGS
SECTION I
EMPLOYMENT OF ENGINEER
The OWNER agrees to employ the ENGINEER and the ENGINEER agrees to furnish the Basic and Special
Engineering Services in connection with the PROJECT as stated in Section II following, and for having rendered such
services the OWNER agrees to pay to the ENGINEER compensation as stated in Section VI following.
SECTION II
CHARACTER AND EXTENT OF SERVICES
1 . The BASIC ENGINEERING SERVICES to be rendered by ENGINEER, include and are limited to the following:
A. Evaluate record drawings (as available) and site conditions for each of the 53 repair items identified in
Attachment "A" -Scope of Work to further refine the repair/replacement method(s) recommended and
advise the OWNER, of any geotechnical, soil, foundation, or other subsurface investigations or any special
surveys or special testing which, in the opinion of the ENGINEER, may be required for the proper
execution of the project, and assist the OWNER in arranging for the conduct of such investigations and
tests. (The performance of these investigations and tests is not a part of the ENGINEER'S Basic Services
and will not be included unless specifically authorized in writing by the OWNER.)
B. Prepare a Preliminary (60%) complete set of plans and specifications for review and comment by the
OWNER, and the Texas Department of Transportation (TxDOT) as necessary for permitting purposes.
C. Prepare a detailed Engineer's Opinion of Probable Construction Cost commensurate with the 60% plans
and specifications. The ENGINEER shall not be required to guarantee the accuracy of the construction
cost opinions.
D. Based on the comments received from the 60% review, prepare a Final (90%) complete set of plans for
review and comment by the OWNER, and for permitting purposes by the Texas Department of
Transportation as necessary.
E. Prepare a detailed Engineer's Opinion of Probable Construction Cost commensurate with the 90% plans
and specifications. The ENGINEER shall not be required to guarantee the accuracy of the construction
cost opinions.
F. Based on the comments received from the 90% review, develop a 100% complete set of Contract
Documents (final construction plans, specifications, and opinion of probable construction costs) for review
and approval by the ONWER.
G. Furnish to the OWNER up to 30 sets of Construction Contract Documents as necessary for distribution to
potential bidders. All sets of Construction Contract Documents in excess of 30 are to be paid for
separately.
H. Assist the OWNER with the bidding process, including participating in a pre-bid conference, answering
questions from prospective bidders, preparing addenda to the Construction Contract Documents,
attending the bid opening, tabulating and evaluating the bids and recommending award of the
construction contract. The OWNER shall be responsible for advertising the PROJECT and distributing the
Construction Contract Documents to potential bidders.
I. Assemble the final Construction Contract Documents for execution by the construction contractor, the
OWNER, and TxDOT, if applicable.
J. Assist the OWNER in conducting apre-construction conference with the construction contractor, his sub-
contractors, TxDOT, and the various franchise utility companies known to have facilities within the
area(s).
K. Represent the OWNER in the Non-Resident administration of the project. In this capacity, the ENGINEER
shall have the authority to exercise whatever rights the OWNER may have to disapprove work and
materials that fail to conform to the Construction Contract Documents when such failures are brought to
the ENGINEER'S attention. (This function of ENGINEER shall not be construed as supervision of the
project and does not include on-site activities other than occasional site visits to observe overall project
conditions or when specifically requested by OWNER to visit on-site for a particular matter. It particularly
does not involve exhaustive or continuous on-site inspections to check the quality or quantity of the work
or material; nor does it place any responsibility on ENGINEER for the techniques and sequences of
construction or the safety precautions incident thereto, and ENGINEER will not be responsible or liable in
any degree for the Contractor's failure to perform the construction work in accordance with the
Construction Contract Documents)
L. Consult and advise the OWNER; issue such instructions to the Contractor as in the judgment of the
ENGINEER are necessary; and prepare routine change orders as required.
M. Respond to Requests for Information from the Contractor, review samples, catalog data, schedules, shop
drawings, laboratory, shop and mill tests of material and equipment and other data which the Contractor
is required to submit, only for conformance with the design concept of the project and compliance with
the information given by the Construction Contract Documents; and assemble written guarantees which
are required by the Construction Contract Documents.
N. Prepare or review monthly and final estimates for payments to Contractors, and furnish to the OWNER
appropriate recommendations as to payments to Contractors and Suppliers.
O. Conduct, in company with OWNER, a final inspection of the project for conformance with the design
concept of the project and compliance with the Construction Contract Documents, and approve in writing
final payment to the Contractors.
P. Revise contract drawings, with the assistance of the OWNER's Resident Project Representative to reflect
available information as to how the work was constructed. Furnish a set of prints of these revised
drawings to the OWNER.

2. The SURVEYING SERVICES to be rendered by ENGINEER include and are limited to the following:
A. Perform field surveys to collect information on existing sanitary sewer manholes being repaired or replaced
as part of the line segment, which in the opinion of the ENGINEER, is required in the final design of the
PROJECT.
B. Furnish Control Points and Elevation Bench Marks required to establish the alignment and elevations as
required for the Contractor to Layout the construction of the PROJECT to the proper lines and grades for
the construction of the designed improvements. Furnishing Control Points and Elevation Bench Marks
shall be performed on a one-time basis prior to construction activities. The Construction Contractor shat{
be responsible for protecting said items during construction. Survey Services to re-establish Control
Points and/or Elevation Bench Marks damaged by construction or other activities beyond the ENGINEER's
control shall be considered as Additional Services and will be invoiced on a "time and materials" basis in
accordance with the ENGINEER'S rate schedules effective at the time said Services are rendered.
3. The following Special Engineering Services and all others not specifically included above are excluded from the
AGREEMENT for Engineering Services. Some or all of the following Special Services may be required during the
progress of the PROJECT and can be provided on a "time and materials" basis in accordance with the ENGINEER's
rate schedules effective at the time said Services are negotiated.
A. Perform field surveys, conduct records research and furnish property descriptions for the purpose of
easement and/or right-of-way acquisition by the OWNER.
B. Surveying and/or engineering services associated with the layout or construction staking of the PROJECT.
C. Inspection of the PROJECT construction.
D. Resident Project Representation.
SECTION III
AUTHORIZATION OF SERVICES
The OWNER's execution of this AGREEMENT shall be considered as authorization for the ENGINEER to undertake this
assignment immediately.
SECTION IV
PERIOD OF SERVICE
This AGREEMENT shall be effective upon execution by the OWNER and the ENGINEER, and shall remain in force
until completion of construction or until terminated under the provisions hereinafter provided in Section X.
SECTION V
COORDINATION WITH THE OWNER
The ENGINEER shall hold periodic conferences with the OWNER, or its representatives, to the end that the project,
as perfected, shall have full benefit of the OWNER'S EXPERIENCE AND KNOWLEDGE OF EXISTING NEEDS AND
FACILITIES, AND BE CONSISTENT WITH ITS CURRENT POLICIES AND CONSTRUCTION STANDARDS. To implement
this coordination, the OWNER shall make available to the ENGINEER for use in planning the project, all existing plans,
maps, field notes, statistics, computations and other data in his possession relative to existing facilities and to the project.
SECTION VI
THE ENGINEERS' COMPENSATION
For and in consideration of the Basic and Special Engineering Services to be rendered by the ENGINEER, as
cited in Section 11 above, the OWNER shall pay and the ENGINEER shall receive compensation as set forth hereinafter:
1. BASIC ENGINEERING SERVICES
Compensation for the Basic Engineering Services (Preliminary Design, Final Design and Construction Phases)
for the PROJECT shall be a lump sum fee of 590,105.00.
2. SURVEYING SERVICES
Compensation for the Surveying Services for the PROJECT shall be a lump sum fee of 54,010.00.
3. REPRODUCTION
Compensation for the Reproduction Services for the PROJECT shall be a lump sum fee of $4,000.00.
4. TOTAL COMPENSATION
Total compensation to the ENGINEER shalt include the sum of item 1. "Basic Engineering Services"
(590,105), Item 2. "Surveying Services" (54,010), and Item 3. "Reproduction" (54,000), for a total lump
sum amount of 598,115.00 without additional negotiation and authorization.
See ATTACHMENT "B" -Work Tasks and Fees.
The compensation for engineering services stated does not include sales tax. If the State of Texas imposes a
sales tax on engineering services during the time of this contract, then the Owner agrees to pay the sales tax as
an extra payment, above and beyond the agreed compensation for engineering services or provide ENGINEER with
appropriate documentation andlor certification of OWNER's tax-exempt status.
SECTION VII
REVISION OF REPORTS, PLANS, SPECIFICATIONS
AND OTHER DOCUMENTS
The revision and re-work of reports, plans, specifications and/or other documents during the formative stages as
an orderly process in the development of the PROJECT to meet the needs of the OWNER shall be considered as part of
the Basic Services; however after a definite plan has been approved by the OWNER, if a decision is subsequently made by
the OWNER, which, for its proper execution involves extra services and expenses for changes in, or additions to the
drawings, and/or other documents, or if the ENGINEER is put to labor or expense by delays imposed on him from causes
not within his control, the ENGINEER shall be compensated for such extra expense which shall be considered as Additional
Services to be paid at an hourly reimbursable basis, or a negotiated Lump Sum Fee.
SECTION VIII
OWNERSHIP OF DOCUMENTS
Original documents, plans, design and survey notes represent the product of training, experience, and professional
skill, and accordingly belong to, and remain the property of the ENGINEER who produced them, and the Owner regardless
of whether the instruments were copyrighted or whether the project for which they were prepared is executed.

The OWNER may retain reproducible copies of drawings and copies of other documents, in consideration of
which it is mutually agreed that the OWNER will use them solely in connection with the PROJECT, and not for
purpose of making subsequent extensions or enlargements hereto, save with the express written consent of the
ENGINEER. Re-use for extension of the original PROJECT or for new projects shall require written permission of the
ENGINEER and shall entitle him to further compensation.
SECTION IX
MEDIATION
In the event of any conflicts that arise during the design and construction of the PROJECT or following completion
of the PROJECT, the OWNER and the ENGINEER agree that all disputes arising out of or relating to this AGREEMENT or
the PROJECT shall be submitted to non-binding mediation unless the parties agree otherwise.
The OWNER and the ENGINEER further agree to include a similar mediation provision in all agreements with
independent contractors and consultants retained for the PROJECT and to require all independent contractors and
consultants also to include a similar mediation provision in all agreements with their sub- contractors, sub-consultants,
suppliers and fabricators, thereby providing for mediation as the primary method for dispute resolution between the parties
to all those agreements.
If the OWNER and the ENGINEER are unable to reach a settlement of any dispute arising out of this AGREEMENT
in accordance with the mediation process, then such disputes may, with the consent of both parties, be settled by binding
arbitration in accordance with the terms of the Texas General Arbitration Act.
SECTION X
TERMINATION
Either party to this AGREEMENT may terminate the AGREEMENT by giving to other party 30 days notice in
writing. Upon delivery of such notice by the OWNER to the ENGINEER, the ENGINEER shall discontinue all services in
connection with the performance of this AGREEMENT and shall proceed to cancel promptly all existing orders and
contracts insofar as such orders or contracts are chargeable to this AGREEMENT. As soon as practicable after receipt of
notice of termination, the ENGINEER shall submit a statement, showing in detail the services performed under this
AGREEMENT to the date of termination. The OWNER shall then pay the ENGINEER promptly that proportion of the
prescribed charges which the services actually performed under this AGREEMENT bear to the total services called for
under this AGREEMENT less such payments on account of the charges as have been previously made. Copies of all
completed or partially completed designs, plans and reports prepared under this AGREEMENT shall be delivered to the
OWNER when and if this AGREEMENT IS TERMINATED, but subject to the restrictions, as to their use, as set forth in
Section VIII.
SECTION X{
LIABILITY
The OWNER agrees that the ENGINEER's liability for the negligence, error, omission or breach of warranty in the
preparation of designs and drawings, the designation or selection of materials and equipment, the selection and
supervision of Project Representatives and other personnel, or the performance of any other services in connection with
any assignment for which a particular written authorization is given by the OWNER pursuant to Section I11 of this
AGREEMENT, shall in no event exceed the amount of the total compensation received by the ENGINEER for services
rendered pursuant to that particular written authorization.

SECTION XII
SUCCESSORS AND ASSIGNMENTS
The OWNER and the ENGINEER each binds himself and his successors, executors, administrators and assigns to
any other party of this AGREEMENT and to the successors, executors, administrators, and assigns of such other party, in
respect to all covenants of this AGREEMENT. Except as above, neither the OWNER nor the ENGINEER shall assign, sublet
or transfer his interest in this AGREEMENT without the written consent of the other. Nothing herein shall be constituted
as creating any personal liability on the part of any officer or agent of any public body which may be a party thereto.
SECTION XIII
SPECIAL CONDITIONS
Special conditions, under the AGREEMENT, include and are limited to those listed hereinafter; the conditions shall
become part of the AGREEMENT:
METHOD OF PAYMENT. Each month, ENGINEER shall furnish to OWNER a statement of the work performed
during the preceding month. Such statement shall also include a detailed record of the month's actual
reimbursable expenses. OWNER shall pay such statement within thirty (30) days of receipt.
EXECUTED in three (3) counterparts (each of which is an original) on behalf of ENGINEER by AUTHORIZED
SIGNATORY, as shown below, and on behalf of the OWNER by the CITY MANAGER (thereunto duly authorized) this
day of 2007.

accordance with the tasks and associated engineering and surveying fees listed in Attachment "B"
Attachment "C" -Project Schedule
Completion of the BASIC ENGINEERING and SURVEYING SERVICES shall be in accordance with the schedule
identified as Attachment "C"
