REVIEW THE NORTH RICHLAND HILLS CITY WIDE TRAIL AND ROUTE SYSTEM PLAN Park Planner Michael Wilson presented the results of Alta Planning + Design's analysis of the city's existing transportation network. The firm was tasked with developing a list of opportunities for future investments in bicycle and pedestrian infrastructure. Alta Planning + Design utilized the city's existing geospatial data and input from stakeholders to establish recommendations that include: signage improvements, intersection treatments, and completing the city's current trail network. Mr. Wilson informed Council any expenditures associated with the identified recommendations would require approval by City Council. Managing Director of Community Services Vickie Loftice informed Council the purpose of the study is to identify crossings, safety considerations and gaps within the trail system. Alta Planning + Design was not tasked to provide cost estimates. Ms. Loftice informed Council that staff seeks their direction regarding the North Richland Hills Citywide Trail and Route System Plan for the following: (1) move forward with the plan or officially approve the plan by resolution; and (2) whether to include it the future mobility plan. The consensus of Council is for the city to be ready to call projects when needed, and if funding requires specificity, the Council will address it at the time with a resolution. Council directed staff to pursue grant funding opportunities. EXECUTIVE SESSION Mayor Trevino announced at 6:18 p.m. that the Council would adjourn into Executive Session as authorized by Chapter 551, Texas Government Code, specifically Section 551.072: deliberate the purchase, exchange, lease or value of real property - (1) 6720 NE Loop 820 and (2) 9005 Grand Avenue. Planning Manager Clayton Comstock informed Council the applicant is requesting a zoning change for 2.79 acres located at 8149 Precinct Line Road for the purpose of developing a single-family residential subdivision. The area is designated on the Comprehensive Land Use Plan as Low Density Residential and the current zoning is AG Agricultural. Mr. Comstock provided site photos. Applicant representative John Pitstick presented request and was available to answer January 09, 2017 City Council Meeting Minutes Page 4 of 7 questions. Council had no questions for the applicant. Planning Manager Clayton Comstock presented staff's report. The Planning and Zoning Commission, at their December 15, 2016 meeting, recommended approval with a vote of 5-0. Principal Planner informed Council the purpose of the item is to consider a Special Use Permit for the purpose of constructing a drive-through coffee shop. The area is designated on the Comprehensive Land Use Plan as Retail and the current zoning is C-1 Commercial. The Retail designation is intended to permit a variety of retail trade, personal and business services establishments, and offices. Mr. Husband provided site photos of the property. Applicant representative Mark Wattles, 900 SW 5th Avenue, Portland, Oregon, presented item. He informed Council this establishment will be the first 151 Coffee. The drive-through coffee store will include dual drive-through lanes and will not have in-door seating. Mr. Wattles informed Council the store will provide quality coffees and teas. Principal Planner Clayton Husband presented staffs report. The Planning and Zoning Commission, at their December 15, 2016 meeting, recommended approval with a vote of 5-0. APPROVED Managing Director Mike Curtis informed Council the item before them this evening is to consider awarding a construction contract for the Tax Increment Reinvestment Zone No. 1 (TIF No.1) expansion project--Boulevard 26 utility burial--to DFW Services, LLC. The scope of the project is from Glenview to Parchman. The city received three bids and one alternate bid. DFW Services, LLC is the low bidder and staff is recommending approval of the base and alternate bid in the amount of$1,296,100. City Hall and other non-emergency city offices will be closed on Martin Luther King, Jr. Day on Monday, January 16. The Library, Animal Adoption & Rescue Center and Senior Center will also be closed. The NRH Centre and Iron Horse Golf Course will be open. Garbage and recycling will be collected as normally scheduled. Kudos Korner - Nick Burns and Tracy Brown, Information Technology Department - Municipal Court Judge Stewart Bass emailed appreciation and thanks for the Information Technology staff who were on-call on Christmas Eve. Following a Windows update, the judge could no longer access his email, which was necessary to issue warrants during the "no refusal' holiday weekend. Within 30 minutes of his call Nick responded in person and Tracy by phone to fix the problem. He stated, "Never, in all my years, would I have predicted this extraordinary response. I am grateful beyond description." I. ADJOURNMENT Mayor Trevino adjourned the meeting at 7:43 p.m. Oscar Trevino, Mayor Alicia Richardson, City Secretary January 09, 2017 City Council Meeting Minutes Page 7 of 7 MRH CITY COUNCIL MEMORANDUM FROM: The Office of the City Manager DATE: January 9, 2017 SUBJECT: Consider Resolution No. 2017-002, recommending the award of a construction contract by Tarrant County for sanitary sewer improvements on Harmonson Road for the 42nd Year Community Development Block Grant Project PRESENTER: Caroline Waggoner, City Engineer Summary: The City Council is being asked to consider a Resolution recommending an award of a construction contract to Excel 4 Construction by Tarrant County for the CIP Project identified as "Harmonson Road 18" Sanitary Sewer Improvements" (CDBG17) in the Capital Projects Budget. General Description: The Harmonson Road Sanitary Sewer Improvements Project (the "Project") is the City's designated 42nd Community Development Block Grant (CDBG) project. Although the City of North Richland Hills is an entitlement city and therefore receives CDBG funds directly, the City has contracted with Tarrant County's CDBG Department to administer the City's CDBG funds. The City determines the projects and the County administers the projects; however, the City reviews all bids and consultant contracts and makes recommendations to the county for approval. Tarrant County therefore awards both the design consultant and construction contracts. Tarrant County's administration of the City's CDBG Projects does not include construction inspection; the City will provide these services. The Project consists of the replacement of 1,850 linear feet of 18" sewer pipe located along Harmonson Road, between Dawn Drive and Lochridge Court. This portion of the sewer line needs to be reconstructed because the line is experiencing significant inflow and infiltration issues and is badly deteriorated. Because of the size of the sanitary sewer main, City utility funds will be needed to augment the available CDBG grant funds. Tarrant County staff reviewed and approved the project's contract documents prior to bidding and scheduled a Bid Opening for November 30, 2016. Bids were received by Tarrant County at their offices on this date. A total of four (4) contractors submitted bids; these bids are summarized in the table below: MRH Name of Contractor BASE BID Excel 4 Construction $637,003.00 B&R Utility Construction $656,929.00 Woody Contractors $731,509.00 Canary Construction $1,135,305.00 The City has had prior experience with the low bidder and believes Excel 4 Construction to be a reliable contractor. The Project budget is comprised of CDBG funds, and is not sufficient to cover the construction portion of the project. North Richland Hills will need to pledge to pay the difference between the available CDBG funds and the Project total. Tarrant County: $262,588.30 North Richland Hills: $374,414.70 Total: $637,003.00 The current project budget includes the $396,000 in available CDBG funds. Tarrant County paid for engineering design of the sanitary sewer line using these resources, leaving $262,588.30 available for construction. The remaining $374,414.70 will be paid for by utilizing available Sanitary Sewer Rehabilitation (UT1307) project savings. Construction is anticipated to begin in February and take 150 calendar days to complete. Recommendation: Approve Resolution No. 2017-002. RESOLUTION NO. 2017-002 A RESOLUTION RECOMMENDING AWARD BY TARRANT COUNTY OF A BID ON THE 42ND ANNUAL COMMUNITY DEVELOPMENT BLOCK GRANT PROGAM PROJECT FOR HARMONSON ROAD 18- INCH SANITARY SEWER IMPROVEMENTS WITHIN THE CITY OF NORTH RICHLAND HILLS. WHEREAS, The Lynda Court Street Improvement Project was bid by Tarrant County as a Community Development Block Grant Project on November 30, 2016; and, WHEREAS, The City of North Richland Hills has allocated an additional $374,414.70 in funds to compliment the City's CDBG funding allocation for the construction of the Harmonson Road 18-inch Sanitary Sewer Improvements Project; and, WHEREAS, Tarrant County's consultant and City staff have recommended award of the Project's bid to Excel 4 Construction; and, WHEREAS, Tarrant County desires a recommendation by the City Council of the City of North Richland Hills; NOW THEREFORE: BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF NORTH RICHLAND HILLS, TEXAS: SECTION 1. THAT the City of North Richland Hills hereby recommends that Tarrant County award the contract for the Lynda Court Street Improvement (CDBG) Project to Excel 4 Construction in the amount of $ 637,003.00. AND IT IS SO RESOLVED. PASSED AND APPROVED on this the 23rd day of January, 2017. The project will consist of replacing approximately 1,850 linear feet of 18"sanitary sewer pipe within Harmonson Road right-of-way between Dawn Drive and Lochridge Court. The existing clay pipe has become problematic requiring regular maintenance.The pipe has partially collapsed in areas and roots have intruded within the pipe through sections. Note: The Federal/State funds shown in the"Sources of Funds"are CDBG entitlement funds,which are administered entirely by Tarrant County. This includes design, ultimate contractor selection, construction management and contract close-out activities. As with all previous CDBG projects,the City will have to provide construction inspection services. In 2010,the City conducted a sanitary sewer assessment for the southern portion of the City(project UT0902). The study found that approximately 11,000 linear feet of sanitary main lines are in need of replacement. The main lines are made of vitrified clay tile and have deteriorated to a point where pipe failures have occurred causing blockage and overflows. Many of the joint pipe sections are separated, allowing ground water and surface water intrusion resulting in capacity issues and added cost for the treatment of wastewater. Presenter: Mark Mills, Finance Director Summary: The City of The Colony is requesting to enter into an interlocal purchasing agreement for the purchase of goods and services from vendors selected through the competitive bidding process. General Descri to ion: The Colony is requesting to enter into an interlocal purchasing agreement for the purchase of goods and services from vendors selected through the competitive bidding process. The Colony is interested in purchasing from a current North Richland Hills contract for Firefighting Clothes/Bunker Gear (RFB 15-017, The Colony, Inc.). Council has authorized several of these interlocal agreements in the past and they have been mutually beneficial to North Richland Hills and the other agencies. Participation reduces the overall expense of soliciting bids and purchasing in larger quantities often lowers the cost of the goods and/or services. Each agency will place their orders and pay the vendors directly. North Richland Hills or The Colony may change or cancel the agreement with a 30-day written notice. North Richland Hills currently participates in interlocal agreements with several local governments throughout the DFW Metroplex and various parts of Texas. Recommendation: Authorize the City Manager to execute an interlocal agreement with the City of The Colony. INTERLOCAL AGREEMENT BETWEEN CITY OF NORTH RICHLAND HILLS AND THE CITY OF THE COLONY This Agreement made and entered into by and between the City of North Richland Hills, hereinafter referred to as "NRH", and the City of The Colony, hereinafter referred to as "TC". Pursuant to the authority granted by the Texas Interlocal Cooperation Act {Article 4413 (32c) Vernon's Annotated Texas Statutes) providing for the cooperation between local governmental bodies, the parties hereto, in consideration of the premises and mutual promises contained herein, agree as follows: NRH and TC desire to enter into an Agreement for the purchase of goods and services from vendors selected through the competitive bidding process. Specifications for said items should be determined in cooperation with the final approval of the entity processing the bid. The responsibility of each entity shall be as follows: I. PRESENTER: Mike Curtis, Managing Director SUMMARY: Council is being asked to adopt Resolution No. 2017-001 which authorizes approval of Amendment No. 1 to the Wastewater Transportation Contract (Walker-Calloway System) with the Trinity River Authority of Texas. This amendment will allow TRA to issue bonds on behalf of the cities of North Richland Hills and Hurst in order to make repairs and improvements to the Walker-Calloway Sewer System. GENERAL DESCRIPTION: The Walker-Calloway Branch outfall lines were constructed in the early 1970's to serve the cities of North Richland Hills (NRH) and Hurst. The outfall line is owned and operated by the Trinity River Authority of Texas (TRA). It consists of two separate 24" and 27" diameter sewer lines labeled Walker Branch and Calloway Branch serving different areas and connecting into a single 42" line labeled Walker-Calloway Branch which transports the wastewater to an existing 96" Fort Worth Trunk line (see Exhibit 2 attached). The cities of North Richland Hills and Hurst are contracted with TRA to maintain and operate this outfall system. For naming purposes the entire system is called the Walker-Calloway Branch Outfall System but will be referenced as the "System." TRA has informed the cities that the system is in very poor condition and needs several sections repaired and some sections replaced. The estimated cost to perform these improvements is approximately $18.4 million. TRA has made this determination through an assessment study performed by one of their engineering consultants. In December of 2011 the System experienced a line collapse which required an emergency repair. Additional failures occurred in 1991, 2006 and 2008. These failures and TRA's concern over the integrity of the System resulted in TRA retaining the RJN Group Inc. to conduct a condition and a preliminary capacity assessment. The results of the assessment indicated that most of the System had less than 10 years of remaining useful life and some segments did not have the capacity to handle the projected peak wet weather flows. ?g1kH NORTH RICHL,AND HILLS Based on the Evaluation/Capacity Report and the Preliminary Design Study, TRA is recommending that the project be constructed in 7 phases. The table below is a summary of each phase and estimated total cost per phase. The total cost estimate does factor in a 4% annual escalation to account for the inflation during the phasing, which is estimated to continue through 2023. The cost also includes design, easement and construction costs estimated for the total project. The current agreement does not permit TRA to require NRH and Hurst to make the significant repairs that are necessary and does not allow TRA to issue debt on behalf of the two cities for these repairs. Since this level of repair would fall outside what would be considered "routine" Operation & Maintenance (O&M), an amendment to the original agreement is necessary. Currently the two cities split ordinary O&M costs 50-50 but extraordinary maintenance and repair is split by flow. NRH contributes approximately 79% of the total flow. By the definition in the agreement Design and Land Acquisition falls under the O&M category and is split equally and construction falls under the "extraordinary maintenance" and the cost is split by percentages of flow. Based on the estimates shown above NRH would be required to pay 79% of the $18,395,000. Although staff believes that there could be some flexibility in the phasing of the project, it is staff's position that the improvements are necessary. WHEREAS, On April 18, 1969, the City of North Richland Hills and the City of Hurst (collectively the Cities) entered into separate agreements (Initial Contracts) with Trinity River Authority of Texas (Authority) for the Authority to issue revenue bonds and construct the Walker-Calloway Branch Outfall Trunk Sewer System (System) for the transportation, treatment and disposal of sanitary sewage and other waste for the Cities; and WHEREAS, Pursuant to the Initial Contracts, the Authority constructed the infrastructure and all of the Authority's bonds issued to construct the System have been paid in full; and WHEREAS, On October 24, 2001, the Cities and the Authority subsequently entered into a contract (Contract) whereby the Authority agreed to continue providing, and the Cities agreed to pay for, transportation and treatment of the Cities wastewater by a 3'd entity, including all operation and maintenance charges for the System; and WHEREAS, The Authority and Cities anticipate further construction, improvements and expansion projects for the System, which will be financed through the issuance of Bonds by the Authority; and WHEREAS, The Cities and the Authority deem it necessary and desirable to amend the Contract to provide a means for the security and payment of Bonds to be issued in one or more series for improvements, enlargements, modifications, and extensions to the System. NOW, THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF NORTH RICHLAND HILLS, TEXAS: SECTION 1. That, for and on behalf of the City of North Richland Hills, Texas (City), the Mayor, the City Manager, or Assistant City Manager is hereby authorized and directed to execute and deliver, and the City Secretary of the City is hereby authorized and directed to sign, attest, and seal, the "TRINITY RIVER AUTHORITY OF TEXAS FIRST AMENDMENT TO WASTEWATER TRANSPORTATION CONTRACT (WALKER- CALLOWAY SYSTEM)" (First Amendment) in substantially the form and substance attached to this Resolution and made a part hereof for all purposes. SECTION 2. That, upon its execution by the parties thereto, the First Amendment shall be binding upon the City in accordance with its terms and provisions and the appropriate officials of the City are authorized and directed to take any and all action, to execute and deliver any and all documentation and to perform any and all functions as may be necessary or appropriate according to the terms of the First Amendment. SECTION 3. That this Resolution shall take effect and be in full force and effect from and after the date of its adoption, and it is so resolved; and all resolutions of the City Council of the City in conflict herewith are hereby amended or repealed to the extent of such conflict. Farmer, City Attorney TRINITY RIVER AUTHORITY OF TEXAS FIRST AMENDMENT TO WASTEWATER TRANSPORTATION CONTRACT (WALKER- CALLOWAY SYSTEM) THE STATE OF TEXAS TRINITY RIVER AUTHORITY OF TEXAS This First Amendmentto the Wastewater Transportation Contract for the Walker-Calloway System (`First Amendment') is made and entered into as of the day of 2017, by and between the CITY OF NORTH RICHLAND HILLS, TEXAS ("North Richland Hills"), the CITY OF HURST, TEXAS (`Hurst"), each a municipal corporation acting under the laws of the State of Texas, and their Home Rule Charters, and the TRINITY RIVER AUTHORITY OF TEXAS ("Authority"), a conservation and reclamation district and political subdivision of the State of Texas created and functioning under Article 16, Section 59, of the Texas Constitution, pursuant to Chapter 518,Acts of the 54th Legislature of the State of Texas, Regular Session, 1955, as amended ("Authority Act"). Hurst and North Richland Hills are individually referred to herein as a"City" and collectively referred to herein as the "Cities." The Cities and Authority acknowledge that this First Amendment is made and entered into subject to the terms, covenants and conditions of the Wholesale Wastewater Contract between the Authority, the Cities and the City of Fort Worth ("Fort Worth"), dated December 2, 1987 (`Wholesale Wastewater Contract"). The Wholesale Wastewater Contract is incorporated into this First Amendment by reference as if quoted herein and for all purposes and remains in full force and effect. RECITALS WHEREAS, the Cities previously entered into separate contracts with the Authority, both dated April 18, 1969 (`Initial Contracts"), for the Authority's issuance of revenue bonds and construction of the Walker-Calloway Branch Outfall Trunk Sewer System for the transportation, treatment and disposal of sanitary sewage, industrial waste and other wastes and treatment of Cities wastewater("System"); WHEREAS, the wastewater treatment services are subject to the Wholesale Wastewater Contract; WHEREAS, the Authority has constructed the necessary infrastructure for the System which connect into a wastewater pipeline owned by Fort Worth and all of the Authority's revenue bonds issued to construct the System have been paid in full and are no longer outstanding and the Initial Contracts expired according to its terms; WHEREAS, on October 24, 2001, the Cities and the Authority entered into a contract (`Contract')whereby the Authority agreed to continue providing, and the Cities agreed to pay for transportation of Cities wastewater, and treatment of Cities wastewater by Fort Worth under terms of the Wholesale Wastewater Contract and to pay the Authority all operation and maintenance charges for the System; 1 WHEREAS, as the System has been constructed, improved and expanded to date, the Authority and the Cities anticipate further construction, improvement and expansion projects which will be financed through the issuance of the Bonds by the Authority(as hereinafter defined); WHEREAS, pursuant to 8.01(e) of the Contract, the Cities and the Authority deem it necessary and desirable to enter into this First Amendment to the Contract to provide a means for the security and payment of Bonds to be issued in one or more series for improvements, enlargements, modifications and extensions to the System; WHEREAS the System and the future improvements, enlargements, modifications and extensions of the System are described in an engineering report ofRJN,Inc.,entitled "The Walker- Calloway Branch Outfall Trunk Sewer System Preliminary Design Report — Final" , dated June 16, 2016 (the "RJN Engineering Report"); and WHEREAS, the Cities and the Authority are authorized to make and enter into this First Amendment under the Authority Act and other applicable laws; WHEREAS, this preamble is made a part of this First Amendment for all purposes; WHEREAS, the Contract shall remain in full force and effect in accordance with its terms except as amended and supplemented by this First Amendment; NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained,the Authority agrees to issue Bonds from time to time for improvements, enlargements, modifications and extensions to the System under this First Amendment and the Contract, and the Cities agrees to make payments on the Bonds as provided herein and continue to make payments for Operation and Maintenance Expenses, as defined in the Contract, as provided therein. Section I. DEFINITIONS. (a) The Section of the Contract entitled "DEFINITION OF TERMS" is hereby amended to add the following defined terms: (1) "Advisory Committee" means the committee created to consult with and advise the Authority with respect to the System as provided in Section XI of this Contract. (2) "Bonds" or "Authority's Bonds" means any bonds issued by the Authority for improving, enlarging, modifying or extending the System, whether in one or more series or issues, or any bonds issued to refund same or to refund any refunding bonds. (3) "Bond Resolution" means any resolution of the Board of Directors authorizing the issuance of Bonds and providing for their security and payment, as such resolutions) may be amended from time to time as therein permitted. 2 (4) "Engineering Report" means the RJN Engineering Contract including all amendments and supplements thereto and as changed by change orders entered after acquisition and construction contracts for the System had been executed. (5) "RJN Engineering Report"has the meaning assigned in the preamble to the Contract. (b) The term "Annual Requirement" in the Contract is hereby deleted in its entirety and replaced with the following definition of"Annual Requirement": "'Annual Requirement' means the total amount of money required for the Authority to pay all (1) Operation and Maintenance expenses of the System, (2) the principal of, redemption premium, if any, and interest on, Bonds, and the interest thereon, to improve, enlarge, modify and extend the System, as such principal, redemption premium, if any, and interest become due,less interest to be paid out of bond proceeds or from other sources if permitted by any resolution authorizing the issuance of such Bonds, and all amounts required to redeem any such Bonds prior to maturity when and as provided in any such resolution plus the fees, expenses, and charges of each paying agent/registrar for paying the principal of and interest on such Bonds and for authenticating, registering, and transferring such Bonds on the registration books, (3) to pay the proportionate amount of any special, contingency, or reserve funds required to be accumulated and maintained by the provisions of any such Bond Resolution and(4)to pay any amount in addition thereto sufficient to restore any deficiency in any of such funds required to be accumulated and maintained by the provisions of any such Bond Resolution, with respect to such Bonds or under this Contract and the First Amendment." (c) The term "Contract" in the Contract and this First Amendment means the Contract as amended and supplemented by this First Amendment. Section 2. PROJECT FUNDING. I. CONDITIONS PRECEDENT of the Contract is hereby amended to add the following subsections: "1.04. PROJECT FUNDING. (a) Subject to the terms and provisions of this Contract, the Authority will provide and pay for the cost of the improvements, enlargements, modifications and extensions of the System, by issuing its Bonds, in one or more series from time to time, in amounts which will be sufficient to accomplish such purposes.It is expressly understood and agreed, however, that any obligations on the part of the Authority to improve and extend the System when necessary or advisable and to provide additional services of the System to the Cities shall be conditioned (i)upon the Authority's ability to obtain all necessary permits, material, labor, and equipment, (ii) upon the ability of the Authority to finance the cost of the System through the actual sale of Bonds (or as otherwise provided to the Authority by the Cities), and (iii) subject to all present and future valid laws, orders, rules, and regulations of the United States of America, the State of Texas, and any regulatory body having jurisdiction. (b)The Authority agrees to issue Bonds from time to time for improvements,enlargements, modifications and extensions to the System that are reasonable and necessary in accordance with the Engineering Report. The Authority shall present any proposed issuance of its Bonds for improvements, enlargements, modifications and extensions to the Advisory Committee. No issuance of the Authority's Bonds shall be conditioned upon or require approval of the governing bodies of either City. 3 1.05. CONSULTING ENGINEERS. The Authority and the Cities agree that the Authority will choose the consulting engineers for the System, provided that the consulting engineers may be changed at the option of the Authority. The Authority agrees to issue its Bonds, payable from and secured by Annual Payments made under this Contract, to improve, enlarge, modify and extend the System in accordance with this Contract, and the Authority agrees to issue its Bonds for such purposes when required. The proceeds from the sale and delivery of such Bonds also will be sufficient to fund to the extent deemed advisable by the Authority a debt service reserve fund, a contingency fund,and interest on the Bonds during construction; and such proceeds also will be used for the payment of the Authority's expenses and costs in connection with the System (including all engineering and design costs and expenses, and the cost of the land and interests therein related to the System) and the Bonds, including, without limitation, all financing, legal, printing, and other expenses and costs related to the issuance of such Bonds and the System. Each Bond Resolution of the Authority shall specify the maximum principal amount of the Bonds to be issued thereunder, which shall mature within the maximum period, and shall bear interest at not to exceed the maximum rates, then permitted by law, and each Bond Resolution shall create and provide for the maintenance of a revenue fund and an interest and sinking fund, and may provide for a debt service reserve fund, and any other funds deemed advisable, all in the manner and amounts as provided in such Bond Resolution. The Cities agrees that when any Bonds are actually issued and delivered to the purchaser thereof, the Bond Resolution authorizing the Bonds shall for all purposes be deemed to be in compliance with this Contract, and the Bonds issued thereunder will constitute Bonds as defined in the First Amendment for all purposes." Section 3. TERM. "2.01. TERM" of the Contract is hereby amended in its entirety as follows: "2.01 Tenn. This Contract shall continue in force and effect while any Bonds are outstanding. Notwithstanding Section 9.01, no modification of this Contract may be made while Bonds are outstanding unless the Contract, as proposed to be modified, makes provisions for the full and prompt repayment of all Bonds issued for the System." Section 4. ANNUAL REQUIREMENT. "5.03. ANNUAL REQUIREMENT" of the Contract is hereby amended in its entirety as follows: "5.03 ANNUAL REQUIREMENT. (a) Under this Contract, the Annual Requirement is the total amount of money required during each Authority Fiscal Year for the Authority to pay all Operation and Maintenance Expenses of the System and debt service on Bonds. This includes annual operation and maintenance expenses attributable to the System of an ordinary or recurring nature plus maintenance of an extraordinary nature. (b) It is acknowledged and agreed that payments to be made under this Contract will be the only source available to the Authority to operate and maintain the System and pay debt service on Bonds, and in compliance with the Authority's duty to fix and from time to time revise the rates of compensation or charges for services of the System rendered and made available by the Authority, 4 the Annual Requirement will change from time to time, and that each such Annual Requirement shall be allocated among the Cities as hereinafter provided, and that the Annual Requirement for each Annual Payment Period shall be provided for in each Annual Budget and shall at all times be not less than an amount sufficient to pay or provide for the payment of: (i) An "Operation and Maintenance Component" equal to the amount paid or payable for all Operation and Maintenance Expenses of the System for the Annual Payment Period as follows: the Operation and Maintenance Expenses shall be shared equally by the Cities, 50% to each City; provided however, the Cities shall share Extraordinary Maintenance or Repair Expenses based on design capacity, 20.6% to Hurst and 79.4% to North Richland Hills; and (ii) A 'Bond Service Component" equal to the sum of the amounts described below for the Annual Payment Period which shall be based on design capacity, 20.6% to Hurst and 79.4%to North Richland Hills. (A) the principal of, redemption premium, if any, and interest on, the Bonds, as such principal, redemption premium, if any, and interest become due, less interest to be paid out of Bond proceeds or from other sources if permitted by any Bond Resolution, and all amounts required to redeem any Bonds prior to maturity when and as provided in any Bond Resolution, plus the fees, expenses, and charges of each Paying Agent/Registrar for paying the principal of and interest on the Bonds, and for authenticating, registering, and transferring Bonds on the registration books; and (B) the proportionate amount of any special,contingency, or reserve funds required to be accumulated and maintained by the provisions of any Bond Resolution; and (C) any amount in addition thereto sufficient to restore any deficiency in any of such funds required to be accumulated and maintained by the provisions of any Bond Resolution. Section 5. PAYMENTS BY THE CITIES. "5.05. PAYMENTS BY THE CITIES" of the Contract is hereby amended in its entirety as follows: "5.05. PAYMENTS BY THE CITIES. (a) For the services to be provided to the Cities under this Contract, each of the Cities shall pay, at the time and in the manner hereinafter provided, its share of the Annual Requirement and shall constitute each City's Annual Payment. Each of the Cities shall pay its part of the Annual Requirement for each Annual Payment Period directly to the Authority, in monthly installments, on or before the 10th day of each month, in accordance with the schedule of payments furnished by the Authority. (b) For each Annual Payment Period, each City shall pay its proportionate share of the Annual Requirement. It is further provided that the Authority may adjust its estimates of the Annual Requirement, during any period within the Annual Payment Period and such revised 5 estimates may be made on the basis of actual metered contributing flow, actual Operation and Maintenance Expenses, and actual billings for wastewater service from Fort Worth, including revised billings for B.O.D. and T.S.S. strength. The Cities will be furnished an Adjusted Annual Payment schedule to reflect any adjustments. At the close of each Annual Payment Period the Authority may redetermine the actual metered number of gallons of contributing flow and the actual B.O.D. and T.S.S strength discharged into the System by each City during said period. Each City's actual percentage of the total contributing flow may be redetermined by dividing such City's actual contributing metered flow by the total of both City's actual contributing metered flow. Each of the City's actual strength charges shall be determined by computing the amount of B.O.D. and T.S.S. strength charges by Fort Worth which are attributable to that City. The Operations and Maintenance Component of each City's Adjusted Annual Payment may be determined by multiplying such City's redetermined volume percentage times the actual volume charges by Fort Worth and adding each City's actual B.O.D. and T.S.S. strength charges. (c) The actual Operation and Maintenance Expenses and any remaining Extraordinary Maintenance or Repair Expenses, as well as funds required to return the Operating Reserve Fund to the required level specified in 5.01, will also be charged to each City as previously defined in 5.03 of this Section. (d) Notwithstanding the foregoing,the Annual Requirement,and each Cities share thereof, may be redetermined, after consultation with each of the Cities, at any time during any Annual Payment Period, to the extent deemed necessary or advisable by the Authority, if: (i) Unusual, extraordinary, or unexpected expenditures for Operation and Maintenance Expenses are required which are not provided for in the Authority's Annual Budget for the System or in any Bond Resolution; (ii) Operation and Maintenance Expenses are substantially less than estimated; (iii) The Authority issues Bonds which require an increase in the Bond Service Component of the Annual Payment; or (iv) The Authority receives either significantly more or significantly less revenues or other amounts than those anticipated. (e) Each of the Cities shall make payments to the Authority required by this Section on or before the 10th day of each month of each Annual Payment Period. If either of the Cities at any time disputes the amount to be paid by it to the Authority, such complaining party shall nevertheless promptly make such payment or payments, but if it is subsequently determined by agreement or court decision that such disputed payments made by such complaining party should have been Tess, or more, the Authority shall promptly revise and reallocate the charges among the Cities in such manner that such complaining party will recover its overpayment or the Authority will recover the amount due it. All amounts due and owing to the Authority by each of the Cities or due and owing to any of the Cities by the Authority shall, if not paid when due, bear interest at the rate of ten (10) percent per annum from the date when due until paid. The Authority shall, unless specifically prohibited by law, discontinue the services of the System to any City which 6 remains delinquent in any payments due hereunder for a period of sixty days, and shall not resume such services while such City is so delinquent. It is further provided and agreed that if any City should remain delinquent in any payments due hereunder for a period of one hundred twenty days, and if such delinquency continues during any period thereafter, such City's Annual Requirement shall be deemed to have been zero during all periods of such delinquency, for the purpose of calculating and redetermining the percentage of each Annual Payment to be paid by the non- delinquent City, and the Authority shall redetermine such percentage on that basis in such event so that the non-delinquent City shall be required to pay all of the Annual Requirement. However, the Authority shall pursue all legal remedies against any such delinquent City to enforce and protect the rights of the Authority,the other City, and the holders of the Bonds,and such delinquent City shall not be relieved of the liability to the Authority for the payment of all amounts which would have been due hereunder, in the absence of the next preceding sentence. It is understood that the foregoing provisions are for the benefit of the holders of the Bonds so as to insure that all of the Annual Requirement will be paid by the non-delinquent City during each Annual Payment Period regardless of the delinquency of a City. If any amount due and owing by any of the Cities to the Authority is placed with an attorney for collection, such City shall pay to the Authority all attorney's fees, in addition to all other payments provided for herein, including interest. (f) If, during any Annual Payment Period, any City's Annual Payment is redetermined in any manner as provided or required in this Section, the Authority will promptly furnish such City with an updated schedule of monthly payments reflecting such redetermination. Section 6. SPECIAL PROVISIONS. Subsection (d)of-8.01. SPECIAL PROVISIONS" of the Contract is hereby amended in its entirety amended as follows: "(d) Each City represents and covenants that all payments to be made by it under this Contract shall constitute reasonable and necessary 'operating expenses" of its combined waterworks and sewer system, and that such payments will be made from revenues of its combined waterworks and sewer system. Each City represents and has determined that the services to be provided by the System are necessary and essential to the operation of its aforesaid system, and that the System constitutes the best available and adequate method for discharging, receiving, treating, and disposing of its wastewater, and, accordingly, all payments required by this Contract to be made by such City shall constitute reasonable and necessary operating expenses of its system, as described above, with the effect that the obligation to make such payments from revenues of such system shall have priority over any obligation to make any payments from such revenues of principal, interest, or otherwise, with respect to all bonds or other obligations heretofore or hereafter issued by such City. Each City agrees to continuously operate and maintain its respective combined waterworks and sewer system, and to fix and collect such rates and charges for water services and/or sewer services to be supplied by its system as aforesaid as will produce revenues in an amount equal to at least(i)all of the expenses of operation and maintenance expenses of such system, including specifically its payments under this Contract, (ii) its payments from such revenues required under any other contracts, and (iii) all other amounts as required by law and the provisions of the ordinances or resolutions authorizing its revenue bonds or other obligations now or hereafter outstanding, including the amounts required to pay all principal of and interest on such bonds and other obligations." 7 Section 7. MODIFICATION. "9.01. MODIFICATION" of the Contract is hereby amended in its entirety as follows: "9.01 MODIFICATION. This Contract may be changed or modified only with the consent of the governing bodies of the Authority and the Cities. No such change or modification may be made which will affect adversely the prompt payment when due of all monies required to be paid by the Cities under the terms of this Contract or which may adversely affect the prompt payment of debt service on Bonds issued by the Authority." Section 8. DISPUTES. "Section XI. DISPUTES" of the Contract is hereby deleted in its entirety and amended and replaced with the following: SECTION XI. ADVISORY COMMITTEE 11.01. ADVISORY COMMITTEE. (a) The Authority shall create an advisory committee ("Advisor}.' Committee") to consult with and advise the Authority and the Cities with respect to the System. The governing body of each the Authority and the Cities annually shall appoint one ofthe members of its governing body or one of its employees as a voting member of the Advisory Committee for the System; provided, however, that a City shall not appoint its member of the Advisory Committee until the effective date of such City's contract. The Advisory Committee shall elect appropriate officers which may include a Chairman, a Vice Chairman, and a Secretary. The Advisory Committee may establish bylaws governing the election of officers, meeting dates, and other matters pertinent to the functioning of the Advisory Committee. The Advisory Committee shall have access to and may inspect at any reasonable rimes all physical elements of the System and all records and accounts of the Authority pertaining to the System. A copy of the minutes of the meetings of the Advisory Committee and all other pertinent data, shall be provided to the members of the Advisory Committee. The Advisory Committee shall consult with and advise the Authority, through its General Manager or his designated representative, with regard to the following matters pertaining to the System: (i) The issuance of Bonds; (ii) The operation and maintenance of the System; (iii) The terms and conditions of the contracts with the Cities, consistent with the provisions of this Contract; (iv) Contracts for services to entities which are not a party to this Contract, and the prices, terms, and conditions of such contracts consistent with the provisions of this Contract; (v) The Authority's Annual Budget, prior to its submission by the Authority's General Manager to the Authority's Board; (vi) Review of the Authority's Annual Audit; (vii) All other pertinent matters relating to the management of the System; and (viii) Improvements and extensions of the System. (b) The term of membership on the Advisory Committee shall be at the pleasure of each governing body represented, respectively, and each member shall serve until replaced by 8 such governing body. All expenses of the Advisory Committee in discharging its duties under this Section shall be considered as an Operation and Maintenance Expense of the System. Section 9. TERM. The effective date of this First Amendment shall be , 2017. Following its effective date, the Contract, as amended, shall continue in full force and effect while any Bonds are outstanding. It is understood by the Authority and the Cities that this First Amendment is being entered into to allow for the issuance of Bonds for improvements, enlargements, extensions and modifications to the System and with the knowledge and belief that the Wholesale Wastewater Contract and the Contract, as amended, will be amended, modified or supplemented. Notwithstanding Section 9.01 of the Contract, no modification of the Contract, as amended, may be made while Bonds are outstanding unless the Contract, as amended, as proposed to be modified, makes provisions to allow for the Authority's full and prompt repayment of all Bonds. Section 10. SE VERABILITY. If any provision of the Contract or First Amendment shall be held or deemed to be or shall, in fact, be invalid, inoperative or unenforceable as applied in any particular case in any jurisdiction or jurisdictions, or in all jurisdictions because it conflicts with any provisions of any Constitution, statute, rule of public policy, or any other reason, such circumstances shall not have the effect of rendering the provision in question invalid, inoperative or unenforceable in any other case or circumstance, or of rendering any other provision or provisions of the Contract or this First Amendment invalid, inoperative or unenforceable to any extent whatever. The recommended program encompasses maintenance projects on 116 streets consisting of 2 streets receiving a sub-grade stabilization and asphalt rehabilitation, asphalt overlay on 19 streets, slurry seal on 45 streets, and crack sealing on 50 streets. GENERAL DESCRIPTION: The method for selecting streets is similar to past years in which staff focuses on targeted areas based on several variables: NRH pavement management system; the citizen's survey results; and other city priorities such as Planning and Economic Development Departments goals. This method ensures that all city goals are taken in to consideration. The first targeted area of the 2016-2017 program is the North Hills area in the southern portion of the city. The second and largest area is north of Harwood Road and south of Chapman Road. A third area also includes some streets in between Starnes / Rumfield Road and Bursey Road. As in year's past the program also recommends streets that are not in densely targeted areas due to the condition and life expectancy of the street. Some highlights within this year's program include Harwood Road (Davis Boulevard to Boulevard 26) which is a minor arterial being part of the overlay program, Liberty Way (Holiday Lane to Iron Horse Boulevard) and Deaver Drive (College Circle to Susan Lee Lane) will receive an asphalt rehabilitation, performed in conjunction with Tarrant County Precinct #3. Public Works Operations Manager SUMMARY: The City Council is being asked to approve an interlocal agreement between Tarrant County and the City of North Richland Hills for the County to assist with roadway improvements on Deaver Drive and Liberty Way. GENERAL DESCRIPTION: Over the past few years Tarrant County Field Operations at Precinct No. 3 has helped the City complete various street construction projects. The current year preventive street maintenance project is again incorporating the help of Tarrant County to complete two streets within the program. The specifics on each of the two streets are listed below. Deaver Drive from Susan Lee east to College Circle Drive will have its sub-grade re-stabilized and receive a new asphalt surface. The anticipated cost for these improvements is $84,785.82. Liberty Wav from Iron Horse Boulevard to Holiday lane will also receive a new sub- grade and new asphalt surface. The anticipated cost for these improvements is $144,395.16. The terms and conditions of the agreement are attached. The total anticipated amount for improvements under this contract is $229,180.98. The City will pay for the materials, trucking charges, and one half of the fuel used by Tarrant County for the sub-grade stabilization process and the placement of the asphalt in the roadway. Once the agreement is executed staff will coordinate with the county to schedule the work. At this time it appears that the work will take place in March or April of 2017 depending on the weather. The City will execute a separate agreement with a third party vendor for the milling work needed for the project. RECOMMENDATION: Authorize the city manager to execute an Interlocal Agreement between Tarrant County and the City of North Richland Hills for road construction on Deaver Drive and Liberty Way. THE STATE OF TEXAS INTERLOCAL AGREEMENT COUNTY OF TARRANT This Interlocal Agreement is between Tarrant County, Texas ("COUNTY"), and the City of North Richland Hills ("CITY"). WHEREAS, the CITY is requesting the COUNTY's assistance to: • Rehabilitate and Resurface Liberty Way located within the City of North Richland Hills from Iron Horse Boulevard to Holiday Lane (Approximately 1,480 linear feet). • Rehabilitate and Resurface Deaver Drive located within the City of North Richland Hills from College Circle to Susan Lee Lane (Approximately 1,197 linear feet). Collectively, hereinafter referred to as the "Project". WHEREAS, the Interlocal Cooperation Act contained in Chapter 791 of the Texas Government Code provides legal authority for the parties to enter into this Agreement; and WHEREAS, during the performance of the governmental functions and the payment for the performance of those governmental functions under this Agreement, the parties will make the performance and payment from current revenues legally available to that party; and WHEREAS, the Commissioners Court of the COUNTY and the City Council of the CITY each make the following findings: a. This Agreement serves the common interests of both parties; b. This Agreement will benefit the public; C. The division of costs fairly compensates both parties to this Agreement; and d. The CITY and the COUNTY have authorized their representative to sign this Agreement. e. Both parties acknowledge that they are each a "governmental entity" and not a "business entity" as those terms are defined in Tex. Gov't Code § 2252.908, and therefore, no disclosure of interested parties pursuant to Tex. Gov't Code Section 2252.908 is required. NOW, THEREFORE, the COUNTY and the CITY agree as follows: 1 TERMS AND CONDITIONS 1. COUNTY RESPONSIBILITY The COUNTY will furnish the labor and equipment to assist the CITY in completing the Project: • Liberty Way: Following milling and removal of the excess materials by the CITY, the COUNTY will stabilize the exposed subgrade, regrade, shape, and prime the roadbed, place six inches of asphalt base, place two inches of asphalt surface, backfill the pavement edges and clean the project jobsite. • Deaver Drive: Following milling and removal of the excess materials by the CITY, the COUNTY will stabilize the exposed subgrade, regrade, shape, and prime the roadbed, place four inches of asphalt base, place two inches of asphalt surface and clean the project jobsite. 2. CITY RESPONSIBILITY 2.1 The CITY will furnish and pay for the actual cost of the materials, including any delivery or freight cost. The CITY will provide a purchase order and will be billed directly by the material supplier. The COUNTY may accumulate and bill the CITY for incidental material cost. 2.2 The CITY will pay for one-half of the COUNTY's fuel used to construct this Project. The COUNTY will invoice the CITY for the fuel consumed at the conclusion of the Project. 2.3 The CITY will be responsible for all traffic control necessary to safely construct this project. This responsibility includes all advance notices, signage, barricades, pilot vehicles, and flagmen necessary to control traffic in and around the construction site. The CITY will be responsible for and provide portable message boards to supplement traffic control as needed. 2.4 The CITY will remove the existing surface and make any necessary roadway repairs prior to the COUNTY starting work. 2.5 The CITY will adjust all utilities, manholes and valve boxes for this Project. 2.6 The CITY will provide the COUNTY with a hydrant meter and all the water necessary for construction of the Project at no cost to the COUNTY. 2.7 The CITY will provide or pay for any engineering, survey, and laboratory testing required for this Project. 2 2.8 The CITY will furnish a site for dumping all spoils and waste materials generated during construction of this Project. 2.9 If required, the CITY will be responsible for the design and development of a Storm Water Pollution Prevention Plan (SWPPP). The CITY further agrees to pay for all cost (including sub-contractor materials, labor and equipment) associated with the implementation of the plan. The COUNTY will be responsible for maintenance of the plan during the duration of the Project. Documentation and record keeping of the SWPPP will be the responsibility of the CITY. 2.10 The City has allocated $229,180.98 to meet its financial obligations under this Agreement. 3. PROCEDURES DURING PROJECT COUNTY retains the right to inspect and reject all materials provided for this Project. If the CITY has a complaint regarding the construction of the project, the CITY must complain in writing to the COUNTY no later than 30 days of the date of project completion. 4. NO WAIVER OF IMMUNITY This Agreement does not waive COUNTY rights under a legal theory of sovereign immunity. This Agreement does not waive CITY rights under a legal theory of sovereign immunity. 5. OPTIONAL SERVICES 5.1 If requested by the CITY, the COUNTY will apply permanent striping coordinated through the Transportation Department. Application of striping by the COUNTY is limited to Project roadways. If the CITY desires permanent striping applied to any roadways or portions of roadways not covered by this Agreement, the CITY will need to enter into a separate agreement with the COUNTY for the provision of those services. 6. TIME PERIOD FOR COMPLETION The CITY will give the COUNTY notice to proceed at the appropriate time. However, the COUNTY is under no duty to commence construction at any particular time. 3 7. THIRD PARTY This contract shall not be interpreted to inure to the benefit of a third party not a party to this contract. This contract may not be interpreted to waive any statutory or common law defense, immunity, including governmental and sovereign immunity, or any limitation of liability, responsibility, or damage of any party to this contract, party's agent, or party's employee, otherwise provided by law. 8. JOINT VENTURE & AGENCY The relationship between the parties to this Agreement does not create a partnership or joint venture between the parties. This Agreement does not appoint any party as agent for the other party. 9. EFFECTIVE DATE This Agreement becomes effective when signed by the last party whose signing makes the Agreement fully executed. 10. TERMINATION This Agreement will automatically terminate on either September 30, 2017 or on the date the project is completed, whichever occurs first. Nothwithstanding the foregoing, or any other language to the contrary, either party may terminate this Agreement without cause upon thirty (30) days' written notice to the other party prior to the intended date of termination. In the event of termination by either party, neither party shall have any further obligations to the other party under this Agreement, except that the CITY remains liable to the COUNTY for any outstanding invoice for materials that the COUNTY provides for the project, if any. 4 TARRANT COUNTY, TEXAS CITY OF NORTH RICHLAND HILLS B.
