SUBJECT: Approve Resolution No. 2024-022, canvassing the results of the May
4, 2024 General Election.
PRESENTER: Alicia Richardson, City Secretary/Chief Governance Officer
SUMMARY:
City Council is required to canvass the votes cast at the City Council General Election
held on May 4, 2024. Resolution No. 2024-022 formally accepts the results of the
election and declares the winning candidates.
GENERAL DESCRIPTION:
The Texas Election Code requires that the City Council meet no earlier than the third
rdth
(3) day and no later than the eleventh (11) day after the General Election to canvass
the results of the election. The City Council cannot canvass the election results until
the Early Voting Ballot Board has verified and counted all provisional ballots or timely
received ballots from outside the United States. The Early Voting Ballot Board is
scheduled to convene on May 13.
The below table consists of the results posted on
May 4, 2024, 11:02:13). The results do not include all provisional ballots or timely
received ballots from outside the United States. The additional ballots will not affect the
outcome of the election results.
Staff anticipates receiving the final unofficial results from Tarrant County before the
meeting. The resolution will be updated to reflect the final unofficial results and
presented at the meeting.

Section 2.025 of the Texas Election Code, a runoff election will be held on June 15,
2024 to determine who is elected. The candidates in the runoff election are the
candidates who received the highest and second-highest number of votes. In
accordance with Section 52.094, the order of the candidates' names on the ballot of any
resulting runoff election shall be the relative order of names on the original election
ballot.
The City Council will act on a separate item to call the runoff election.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NORTH
RICHLAND HILLS, TEXAS, CANVASSING THE ELECTION RESULTS
OF THE MAY 4, 2024 GENERAL ELECTION; AND DECLARING
CANDIDATES ELECTED TO OFFICE.
WHEREAS, the City of North Richland Hill
under its charter adopted by the electorate pursuant to Article XI, Section
5 of the Texas Constitution and Chapter 9 of the Local Government code;
and
WHEREAS, the City of North Richland Hills Charter provides that city elections shall be
held in accordance with laws of the State of Texas; and

WHEREAS, Section 41.001(a) of the Texas Election Code, as amended by the 84
Texas Legislature, establishes the first Saturday in May as a uniform
election date for the purposes of conducting a General Election; and
WHEREAS, Section 3.004(b) of the Texas Election Code provides that the governing
body of a municipality shall be the authority to order a General Election for
the purposes of electing members to the governing body; and
WHEREAS, the City Council approved Resolution No. 2024-009, calling the General
Election of May 4, 2024 for the purpose of electing council members to
serve as Mayor and City Council in Places 2, 4, and 6.

WHEREAS, an election was duly held in the City of North Richland Hills on the 4 day
of May, 2024 to elect a Mayor and Council Places 2, 4,and 6; and
WHEREAS, the City Council has met to canvass the votes cast in such election and
accept the tabulations provided by Tarrant County Elections Administrator
(Exhibit A).

SUMMARY:
On behalf of Ashton Dallas Residential LLC, Miller Surveying is requesting approval of an
amended plat of Lot 19R, Block 1, City Point Addition. The property is located at 4201
Watson Way.
Amended plats typically appear as City Council consent agenda items because they do
not involve a public hearing and are ministerial approvals, meaning they must be
approved if they meet all zoning and development criteria. This particular case is also an
example of one that will be reviewed and approved by staff after the July 1 effective date
of the new subdivision regulations.
GENERAL DESCRIPTION:
The plat consists of one lot located at the south end of Watson Way, just south of Denney
Drive. The area is located immediately east of the rear parking lot of the city hall property.
The lot was created as part of the final plat of City Point Addition Sector 3, which was
recorded in December 2021 (Case FP 2020-10).
The amended plat would make the following revisions to the previous plat.
1. A 2.5-foot portion of a utility easement on the south side of the lot would be
abandoned. A five-foot wide utility easement would remain in place on the lot.
2. An erroneous line drawn on the previous plat would be removed.
3. A standard plat note is added that states the purpose for the amended plat.
The plat does not alter or remove any recorded covenants or restrictions, if any, on the
property.
LAND USE PLAN: This area is designated on the Land Use Plan as Urban Village. This
designation promotes sustainable, pedestrian-oriented, mixed-use development that
provides the opportunity for many uses to coexist within a more compact area. Urban
Villages encourage an efficient, compact land use pattern; support vibrant public spaces;
reduce the reliance on private automobiles; promote a more functional and attractive
community through the use of recognized principles of urban design; allow flexibility in
land use; and prescribe a high level of detail in building design and form. Urban Villages
can come in the form of vertical mixed use, where multiple uses share a single, multi-
story building; or horizontal mixed use, where a diverse set of uses are placed within
close, walkable proximity.
CURRENT ZONING: The property is currently zoned NR-PD Nonresidential Planned
Development. The zoning was approved by City Council on August 12, 2019 (Ordinance
3595). The NR-PD provides for a base zoning district of C-1 Commercial and is intended
to allow for a mixed-use development that includes commercial, multifamily residential,
single-family residential (detached units, bungalows, townhouses) and open space.

SUBJECT: Award RFB 24-015 to Stoic Civil Construction, Inc. for construction
of the Stream LB-1 Bank Restoration Project (DR2301) in the
amount of $230,880 and authorize the City Manager to execute the
related construction agreement.

SUMMARY:
The City Council is being asked to award RFB 24-015 to Stoic Civil Construction, Inc.
and authorize the City Manager to execute the related construction agreement for the
Stream LB-1 Bank Restoration Project (DR2301).
GENERAL DESCRIPTION:
The Stream LB-1 Bank Restoration Project involves the stabilization of approximately 100
linear feet of stream bank located just east of Davis Boulevard, north of Rumfield Road.
A portion of the southern stream bank experienced failure in the summer of 2021 due to
erosion. Similar projects have been performed in the past on natural or earthen
watercourses in various locations throughout the city.
A bid opening was conducted for the Stream LB-1 Bank Restoration Project on April 4,
2024. Notice of the ccal newspapers, as required by
state statute and posted on the ciebsite. Bid spe
website by multiple entities. The project received four bids, which were opened during the
April 4, 2024, bid opening. The bids are provided below:

The design engineer and city staff recommend awarding the base bid to the lowest bidder:
Stoic Civil Construction, Inc. They have successfully completed similar drainage projects
for other DFW municipalities in the past five years. The design engineer spoke with two
of the references listed and both were satisfied with the quality of work.
Funding for this project was included in the FY 22-23 Adopted Capital Projects Budget in
the Stream LB-1 Bank Restoration Project (DR2301). Additional funding in the amount of
$17,457 is needed to complete this project. Staff is proposing to utilize $17,457 in
available construction funds from the Northwest Stonybrooke Drainage Improvements
Project (DR2302). Staff is currently in the design phase for DR2302, and current
estimates show the project is expected to come in under budget.
RECOMMENDATION:
Award RFB 24-015 to Stoic Civil Construction, Inc. for construction of the Stream LB-1
Bank Restoration Project in the amount of $230,880 and authorize the City Manager to
execute the related construction agreement.
STANDARD FORM OF CONSTRUCTION AGREEMENT

THIS AGREEMENT is entered into this the ___ day of , 20__ ,
by and between the CITY OF NORTH RICHLAND HILLS, a municipal corporation,
of the County of Tarrant and State of Texas, hereinafter called "OWNER" and
STOIC CIVIL CONSTRUCTION, INC. of the Town of Bartonville, County of
Denton, and State of Texas hereinafter called "CONTRACTOR."
OWNER and CONTRACTOR in consideration of the mutual covenants
contained in this Agreement, agree as follows:
ARTICLE 1. WORK.
CONTRACTOR covenants and agrees to perform the Work in every detail, in
a good and first-class workmanlike manner as specified and indicated in the
Contract Documents, of which are incorporated in this Agreement in their entirety
as if they were herein set out at length written word for word. The CONTRACTOR
shall furnish all labor, materials, tools and equipment required to perform and
complete the Work in strict accordance with these Contract Documents. The Work
is described as follows:

ARTICLE 2. CONTRACT PRICE.
OWNER agrees to pay CONTRACTOR for completion of the Work in
accordance with the Contract Documents, the price or prices shown in the bidder's
proposal, which total the following amount:

ARTICLE 3. CONTRACT TIME / TERMINATION / LIQUIDATED DAMAGES.
Unless otherwise stated in this agreement, time shall be considered of the
essence.
a. When time is of the essence, the CONTRACTOR shall be liable for failure to
deliver or delay in delivery occasioned by and including without limitation
strikes, lock-outs, inability of obtaining material or shopping space,
breakdowns, delays of carriers or suppliers, and preexisting governmental acts
and regulations of the Federal and State governments or any subdivision
thereof, unless such governmental acts and regulations affecting delivery could
not be found, recognized, or discovered by due diligence on the part of the
thereof.
b. When time is not of the essence, this agreement shall be inoperative during
such period of time that aforesaid delivery or acceptance may be rendered
impossible by reason of fire, strike, Acts of God, or government regulation.
Provided, however, to the extent that the CONTRACTOR has any commercially
reasonable alternative method of performing this contract by purchase on the
market or otherwise, he/she shall not be freed of his/her obligation hereunder
by this clause, even though the goods intended for this contract were destroyed
or their delivery delayed because of any event described above.
c. As time is of the essence on this contract, CONTRACTOR agrees to
commence work under this contract within ten (10) days from the date specified
in the "Notice to Proceed" and complete each phase of construction within the
durations specified in the following table. The durations specified are
consecutive calendar days and are subject to such extensions of time as are
indicated in the Special Provisions. Each subsequent phase after Phase 1
(Phase 2 and 3) shall start immediately following the previous phase. There
shall be no stopping of work or delay of work between phases.

Any modifications to the durations provided for each phase of construction must
be agreed upon in writing by the CONTRACTOR and the OWNER. Additionally,
CONTRACTOR agrees to totally complete work within 90 consecutive
calendar days after the date specified in the "Notice to Proceed," subject to
such extensions of time as are indicated in the Special Provisions.
d. Milestones included in this contract are as follows:
1) Completion of Phase 1 provided in the Construction Drawings within 21
Provisions). For purposes of this section, to considered completed, all
construction activities included in the Sequence of Construction provided in
the Construction Drawings must:
a. be in place;
b. be functional;
c. all proposed tree removal and site clearing completed;
d. all proposed sidewalk demolition and removal shall be completed;
e. all tree protection shall be installed, inspected, repaired and/or
modified as needed, AND;
f. all erosion control devices shall be installed, inspected, repaired,
and/or modified as needed.
In the event that this milestone is not met, OWNER shall have the right to

In the event that this milestone is not met, OWNER shall have the right to
CONTRACTOR, if CONTRACTOR does not complete all items within the

determined by the OWNER;
e. all sidewalk, and pedestrian improvements are complete and
operational as determined by the OWNER;
f. all tree protection shall be removed and the site is cleaned, AND;
g. all erosion control and traffic control devices shall be removed and
the site is cleaned.
In the event that this milestone is not met, OWNER shall have the right to
CONTRACTOR, if CONTRACTOR does not complete all items within the
Calendar Days is defined as any day of the week or month; no days being
excepted, such as, Saturdays, Sundays, holidays and inclement weather days.
Counting of contract time will only be stopped when the Owner issues a written
notice stating this fact, or when the project is noted as substantially complete
by written notice from the Owner. OWNER shall determine when such action
is necessary.
Extensions of time due to weather delays shall be determined in accordance
with the following formula:
E = R- P where R is greater than or equal to P, and
E = Extra Precipitation Days
P = Average Precipitation Days
R = Total Precipitation Days
Average Precipitation Days (P) is defined as a day of rain, sleet, hail, snow
or any combination thereof, and shall be based upon the average
precipitation for each month of the year as defined in the Local Climatological
Data summaries issued by the National Climatic Data Center in Asheville,

Partial months shall be prorated uniformly for the entire month and the
sum of all the months used will be rounded to the nearest whole number.
This number shall be P.
Total Precipitation Days (R) is defined as a day of rain, sleet, hail, snow
or any combination thereof, if determined by the Owner's Project
Representative that the Contractor's construction cannot progress
substantially due to precipitation and thus be put in the Daily Inspection Logs
as a precipitation day. The sum of all precipitation says shall be R.
The total number of Extra Precipitation Days (E) shall be granted to the
Contractor as extension of time due to weather delays, and no additional
time due to drying time for saturated soil will be allowed. This contract time
is both multi-tiered and cumulative.
e. Liquidated Damages. The CONTRACTOR further agrees to pay the following
as liquidated damages:
(1) $42.00 per Calendar Day for any unfinished work beyond 90 consecutive
continue until such time that the Project is complete and accepted by the
OWNER.
(2) It is understood between the parties hereto that these sums shall be treated
as liquidated damages and not as a penalty, and the OWNER may withhold
from the CONTRACTOR's compensation such sums as liquidated
damages.

ARTICLE 4. PARTIAL PAYMENT.
OWNER shall make payments to the CONTRACTOR in the following manner.
On or about the first of each month, the OWNER, or the OWNER's Authorized
Representative, will make accurate estimates of the value, based on contract
prices, of the work done and materials incorporated in the work and of materials
suitably stored at the site during the preceding calendar month. The
CONTRACTOR shall furnish to the OWNER, or the OWNER's Representative,
such detailed information as the OWNER may request to aid OWNER as a guide
in the preparation of the monthly estimate.
Within the following thirty (30) days, OWNER shall make partial payments to
the CONTRACTOR for work performed during the preceding calendar month as
estimated by the OWNER or OWNER's Representative. Ten percent (10%) of
each estimate shall be retained by the OWNER until final completion and
acceptance of all work covered by the Contract for contracts less than four hundred
thousand dollars ($ 400,000). Five percent (5%) of each estimate shall be retained
by the OWNER until final completion and acceptance of all work covered by the
Contract for contracts greater than four hundred thousand dollars ($ 400,000).
Upon completion and acceptance of all work in compliance with the Contract, the
OWNER shall, within thirty (30) days, pay the CONTRACTOR the balance due
under the terms and conditions of the Contract.
It is understood that the monthly estimates shall be approximate only, and all
monthly estimates and partial payments shall be subject to correction in the
estimate rendered following the discovery of an error in any previous estimate, and
such estimate shall not in any respect be taken as an admission of the OWNER of
the amount of work done or of its quality or sufficiency nor as an acceptance of the
work or the release of the CONTRACTOR of any of its responsibility under the
Contract.
ARTICLE 5. DISCRIMINATION.
The CONTRACTOR agrees, in connection with the performance of work under
this contract as follows:

a. The CONTRACTOR will not discriminate against any employee or applicant
for employment because of race, creed, color, sex, religion, national origin
or ancestry. Such actions shall include, but not be limited to, the following:
employment, upgrading, demotion or transfer, recruiting or recruitment,
advertising, layoff, termination, rates of pay or other forms of compensation
and selection for training, including apprenticeship.
b. The CONTRACTOR agrees to include this non-discrimination clause in any
subcontracts connected with the performance of this agreement.
c. In the event of the CONTRACTOR's non-compliance with the above non-
discrimination clause, the contract may be canceled or terminated by the
OWNER. The CONTRACTOR may be declared by the OWNER to be
ineligible for future contracts with the OWNER, until satisfactory proof of
intent to comply shall be made by the CONTRACTOR.
d. The OWNER shall be provided a list of subcontractors who are to be paid
$10,000 or more. The CONTRACTOR must ensure that such
subcontractors meet the requirements as outlined in Title VI of the Civil
Rights Act of 1964 (42 USC 2000d et seq), execute required assurances
and provide the OWNER a copy of the signed assurance of all such
subcontractors prior to final payment. In the event of a claim of $10,000 or
more against the CONTRACTOR by a subcontractor under this section, no
further payment shall be processed unless and until each required
subcontractor assurance is provided the OWNER.
ARTICLE 6. ENTIRE CONTRACT.
This Contract and Agreement contains the entire understanding and
agreement of the parties upon the subject matter hereof. There is no agreement,
oral or otherwise, which is not set forth in writing as part of this Agreement or the
Contract Documents.
ARTICLE 7. MODIFICATION.
This contract cannot be modified except by a writing signed by both parties.
ARTICLE 8. VARIABLES IN COST.
The parties hereto assume and understand that the variables in the
CONTRACTOR's cost of performance may fluctuate; consequently, the parties
hereto agree that any fluctuations in the CONTRACTOR's costs will in no way alter
the CONTRACTOR's obligations under this contract nor excuse nonperformance
or delay on his/her part.

ARTICLE 10. VENUE.
This contract shall be governed by the laws of the State of Texas. Venue for
any court proceedings shall be in Tarrant County, Texas.

ARTICLE 11. DEFAULT
OWNER may declare CONTRACTOR in default of this Contract in the event
Contractor fails to comply with the terms and conditions set forth in this Contract
or any of the Contract Documents.
ARTICLE 12. SUBCONTRACTORS
Any subcontractor who furnishes labor or materials to fulfill an obligation to
CONTRACTOR under this Contract or who performs all or part of the work required
by this Contract, must comply with all notice and filing requirements of Texas

Property Code, Owner shall be authorized to withhold payment from the
CONTRACTOR for payment of the claim. Owner shall release any such payment
to the CONTRACTOR upon written notice and sufficient documentation to Owner
from subcontractor that the claim has been paid or otherwise settled.

caused this instrument to be signed in its corporate name, and on its behalf by the

We recommend the city award this project to Stoic Civil Construction, Inc. Stoic Civil Constructionis
a local contractor based in Bartonville; theirbid was complete,acknowledged all addenda issued,
and included a bid bond for 5% of the bid amount. Their bid bond was issued by RLI Insurance
Company,a surety licensed in Texas and on the list of certified surety companieswith the U.S.
Department of the Treasury. Their underwriting limitation is over one hundred fortymillion dollars,
well above the amount required for this bid bond.
Stoic Civil Constructionincludeda large refences list comprised of similar work for other
municipalitieswithin the Dallas-Fort Worth area. We spoke with the refences they listedat both the

GENERAL DESCRIPTION:
The Amundson Drive Drainage Improvements Project involves the installation of drainage
infrastructure to intercept flow from Dick Faram Park and convey it safely to an existing
drainage system on Amundson Road.
The project was structured with a base plus alternate format to provide an option for a
slight expansion of project scope at the discretion of the City Council if the alternate is
deemed to be worth the additional expense. The alternate bid item included on this project
was for use of block sod as opposed to hydro mulch for disturbed areas.

The design engineer and city staff recommend awarding the base bid to the lowest bidder:
Tex-Pro Construction, LLC. They have successfully completed similar drainage projects
for other DFW municipalities in the past five years and are the current contractor for our
Water Valve Replacement project.
Funding for this project was included in the FY 23-24 Adopted Capital Projects Budget in
the Miscellaneous Drainage Improvements Project (DR2401).
RECOMMENDATION:

of the County of Tarrant and State of Texas, hereinafter called "OWNER" and
TEX-PRO Construction, LLC of the City of Fort Worth , County of Tarrant and
State of Texas hereinafter called "CONTRACTOR."
OWNER and CONTRACTOR in consideration of the mutual covenants
contained in this Agreement, agree as follows:
ARTICLE 1. WORK.
CONTRACTOR covenants and agrees to perform the Work in every detail, in
a good and first-class workmanlike manner as specified and indicated in the
Contract Documents, of which are incorporated in this Agreement in their entirety
as if they were herein set out at length written word for word. The CONTRACTOR
shall furnish all labor, materials, tools and equipment required to perform and
complete the Work in strict accordance with these Contract Documents. The Work

ARTICLE 3. CONTRACT TIME / TERMINATION / LIQUIDATED DAMAGES.
Unless otherwise stated in this agreement, time shall be considered of the
essence.
a. When time is of the essence, the CONTRACTOR shall be liable for failure to
deliver or delay in delivery occasioned by and including without limitation
strikes, lock-outs, inability of obtaining material or shopping space,
breakdowns, delays of carriers or suppliers, and preexisting governmental acts
and regulations of the Federal and State governments or any subdivision
thereof, unless such governmental acts and regulations affecting delivery could
not be found, recognized, or discovered by due diligence on the part of the
thereof.
b. When time is not of the essence, this agreement shall be inoperative during
such period of time that aforesaid delivery or acceptance may be rendered
impossible by reason of fire, strike, Acts of God, or government regulation.
Provided, however, to the extent that the CONTRACTOR has any commercially
reasonable alternative method of performing this contract by purchase on the
market or otherwise, he/she shall not be freed of his/her obligation hereunder
by this clause, even though the goods intended for this contract were destroyed
or their delivery delayed because of any event described above.
c. As time is of the essence on this contract, CONTRACTOR agrees to
commence work under this contract within ten (10) days from the date specified
in the "Notice to Proceed" and complete each phase of construction within the
durations specified in the following table. The durations specified are
consecutive calendar days and are subject to such extensions of time as are
indicated in the Special Provisions.
Any modifications to the durations provided for each phase of construction must
be agreed upon in writing by the CONTRACTOR and the OWNER. Additionally,
CONTRACTOR agrees to totally complete work within 60 consecutive calendar
days after the date specified in the "Notice to Proceed," subject to such
extensions of time as are indicated in the Special Provisions.
Calendar Days is defined as any day of the week or month; no days being
excepted, such as, Saturdays, Sundays, holidays and inclement weather days.
Counting of contract time will only be stopped when the Owner issues a written
notice stating this fact, or when the project is noted as substantially complete
by written notice from the Owner. OWNER shall determine when such action
is necessary.
Extensions of time due to weather delays shall be determined in accordance
with the following formula:

ARTICLE 4. PARTIAL PAYMENT.
OWNER shall make payments to the CONTRACTOR in the following manner.
On or about the first of each month, the OWNER, or the OWNER's Authorized
Representative, will make accurate estimates of the value, based on contract
prices, of the work done and materials incorporated in the work and of materials
suitably stored at the site during the preceding calendar month. The
CONTRACTOR shall furnish to the OWNER, or the OWNER's Representative,
such detailed information as the OWNER may request to aid OWNER as a guide
in the preparation of the monthly estimate.
Within the following thirty (30) days, OWNER shall make partial payments to
the CONTRACTOR for work performed during the preceding calendar month as
estimated by the OWNER or OWNER's Representative. Ten percent (10%) of
each estimate shall be retained by the OWNER until final completion and
acceptance of all work covered by the Contract for contracts less than four hundred
thousand dollars ($ 400,000). Five percent (5%) of each estimate shall be retained
by the OWNER until final completion and acceptance of all work covered by the
Contract for contracts greater than four hundred thousand dollars ($ 400,000).
Upon completion and acceptance of all work in compliance with the Contract, the
OWNER shall, within thirty (30) days, pay the CONTRACTOR the balance due
under the terms and conditions of the Contract.
It is understood that the monthly estimates shall be approximate only, and all
monthly estimates and partial payments shall be subject to correction in the
estimate rendered following the discovery of an error in any previous estimate, and
such estimate shall not in any respect be taken as an admission of the OWNER of
the amount of work done or of its quality or sufficiency nor as an acceptance of the
work or the release of the CONTRACTOR of any of its responsibility under the
Contract.

Construction Agreement
ARTICLE 5. DISCRIMINATION.
The CONTRACTOR agrees, in connection with the performance of work under
this contract as follows:
a. The CONTRACTOR will not discriminate against any employee or applicant
for employment because of race, creed, color, sex, religion, national origin
or ancestry. Such actions shall include, but not be limited to, the following:
employment, upgrading, demotion or transfer, recruiting or recruitment,
advertising, layoff, termination, rates of pay or other forms of compensation
and selection for training, including apprenticeship.
b. The CONTRACTOR agrees to include this non-discrimination clause in any
subcontracts connected with the performance of this agreement.
c. In the event of the CONTRACTOR's non-compliance with the above non-
discrimination clause, the contract may be canceled or terminated by the
OWNER. The CONTRACTOR may be declared by the OWNER to be
ineligible for future contracts with the OWNER, until satisfactory proof of
intent to comply shall be made by the CONTRACTOR.
d. The OWNER shall be provided a list of subcontractors who are to be paid
$10,000 or more. The CONTRACTOR must ensure that such
subcontractors meet the requirements as outlined in Title VI of the Civil
Rights Act of 1964 (42 USC 2000d et seq), execute required assurances
and provide the OWNER a copy of the signed assurance of all such
subcontractors prior to final payment. In the event of a claim of $10,000 or
more against the CONTRACTOR by a subcontractor under this section, no
further payment shall be processed unless and until each required
subcontractor assurance is provided the OWNER.
ARTICLE 6. ENTIRE CONTRACT.
This Contract and Agreement contains the entire understanding and
agreement of the parties upon the subject matter hereof. There is no agreement,
oral or otherwise, which is not set forth in writing as part of this Agreement or the
Contract Documents.
ARTICLE 7. MODIFICATION.
This contract cannot be modified except by a writing signed by both parties.
ARTICLE 8. VARIABLES IN COST.
The parties hereto assume and understand that the variables in the
CONTRACTOR's cost of performance may fluctuate; consequently, the parties

hereto agree that any fluctuations in the CONTRACTOR's costs will in no way alter
the CONTRACTOR's obligations under this contract nor excuse nonperformance
or delay on his/her part.
ARTICLE 10. VENUE.
This contract shall be governed by the laws of the State of Texas. Venue for
any court proceedings shall be in Tarrant County, Texas.

Any subcontractor who furnishes labor or materials to fulfill an obligation to

by this Contract, must comply with all notice and filing requirements of Texas
Property Code, Chapter 53 in order to perfect a mechan

SUMMARY:
This item is to authorize City Manager to execute a contract with Vertosoft, LLC. to provide
Professional Services to upgrade the OpenGov (CarteGraph) software currently used by
Public Works for asset management to their new Software as a Service (SaaS) platform
with an annual subscription fee.
GENERAL DESCRIPTION:
Vertosoft, LLC. is the DIR reseller for all OpenGov products. The current version of the
OpenGov (CarteGraph) software being used is no longer supported by the vendor and is
no longer functioning as expected. This upgrade is necessary for Public Work to be able
to manage and maintain all assets accurately. In addition, our licensing will be enhanced
from four concurrent licenses to unlimited for greater usability.
Vertosoft, LLC. participates in the State of Texas Department of Information Resources
(DIR) cooperative purchasing program (DIR TSO-4227). By participating in the DIR
cooperative purchasing program the city meets all state competitive bidding requirements
for this purchase. Funding for the Professional Services was included in the FY
2023/2024 Information Technology operating budget. The annual subscription fee will
start on FY 2024/2025 and has been submitted as an adjustment to base in the budget
process.
Hills would be able to take advantage of the available pricing for the current renewal
through 09/28/24 and each of the remaining two-year renewals, provided the terms and
conditions of the contract do not change. As long as the terms and conditions of the
contract do not change the remaining renewals will not require additional City Council
approval.

Request for Offer (RFO) DIR-TSO-TMP-416, on 2/26/2018, for Software Products, Software as a
Service, and Enterprise Resource Planning Software Modules Products and Services. DIR
subsequently issued a BAFO opportunity on (BAFO Date)͵ Upon execution of this Contract, a
notice of award for RFO DIR-TSO-TMP-416 shall be posted by DIR on the Electronic State Business
Daily.
C. Order of Precedence
For purchase transactions under this Contract, the order of precedence shall be as follows: this
Contract; Appendix A, Standard Terms and Conditions For Products and Related Services
Appendix C, Pricing Index; EDIR-TSO-TMP-416, including all
addenda; and Exhibit 2, DIR-TSO-TMP-416, including all addenda; are incorporated by reference
and constitute the entire agreement between DIR and Vendor governing purchase transactions.
In the event of a conflict between the documents listed in this paragraph related to purchases,
the controlling document shall be this Contract, then Appendix A, then Appendix B, then Appendix
C, then Exhibit 1, and finally Exhibit 2. In the event and to the extent any provisions contained in
multiple documents address the same or substantially the same subject matter but do not actually
conflict, the more recent provisions shall be deemed to have superseded earlier provisions.
2. Term of Contract
The initial term of this Contract shall be two (2) years commencing on the last date of approval by
DIR and Vendor, with two (2) optional two-year renewal. Prior to expiration of each term, the
contract will renew automatically under the same terms and conditions unless either party
provides notice to the other party 60 days in advance of the renewal date stating that the party
wishes to discuss modification of terms or not renew. Additionally, the parties by mutual
agreement may extend the term for up to ninety (90) additional calendar days.

4. Pricing
Pricing to the DIR Customer shall be as set forth in Appendix A, Section 8, Pricing, Purchase Orders,
Invoices and Payment, and as set forth in Appendix C, Pricing Index, and shall include the DIR
Administrative Fee.
5. DIR Administrative Fee
A) The administrative fee to be paid by the Vendor to DIR based on the dollar value of all sales to
Customers pursuant to this Contract is three-quarter of one percent (0.75%). Payment will be
calculated for all sales, net of returns and credits. For example, the administrative fee for sales
totaling $100,000 shall be $750.00.

7. Software License Agreements
A. Shrink/Click-wrap License Agreement
Regardless of any other provision or other license terms which may be issued by Vendor after
the effective date of this Contract, and irrespective of whether any such provisions have been
proposed prior to or after the issuance of a Purchase Order for products licensed under this
Contract, or the fact that such other agreement may be affixed to or accompany software
upon delivery (shrink-wrap), the terms and conditions set forth in this Contract shall
supersede and govern the license terms between Customers and Vendor. It is the
CustomeShrink/Click-wrap License Agreement and determine
if the Customer accepts the license terms as amended by this Contract. If the Customer
does not agree with the license terms, Customer shall be responsible for negotiating with
the reseller to obtain additional changes in the Shrink/Click-wrap License Agreement
language from the software publisher.
B. Conflicting or Additional Terms
In the event that conflicting or additional terms in Vendor Software License Agreements,
Shrink/Click Wrap License Agreements, Service Agreements or linked or supplemental
documents amend or diminish the rights of DIR Customers or the State, such conflicting or
additional terms shall not take precedence over the terms of this Contract.
In the event of a conflict, any linked documents may not take precedence over the printed or
referenced documents comprising this contract; provided further that any update to such
linked documents shall only apply to purchases or leases of the associated Vendor product or
service offering after the effective date of the update; and, provided further, that, if Vendor
has responded to a solicitation or request for pricing, no update of such linked documents on
sponse shall apply to that purchase unless Vendor
directly informs Customer of the update before the purchase is consummated.
In the event that different or additional terms or conditions would otherwise result from
accessing a linked document, agreement to said linked document shall not be effective until
require any document that: 1) diminishes the rights, benefits, or protections of the
Customer, or that alters the definitions, measurements, or method for determining any
authorized rights, benefits, or protections of the Customer; or 2) imposes additional costs,

burdens, or obligations upon Customer, or that alters the definitions, measurements, or
method for determining any authorized costs, burdens, or obligations upon Customer.
If Vendor attempts to do any of the foregoing, the prohibited documents will be void and
inapplicable to the contract between DIR and Vendor or Vendor and Customer, and Vendor
will nonetheless be obligated to perform the contract without regard to the prohibited
documents, unless Customer elects instead to terminate the contract, which in such case
may be identified as a termination for cause against Vendor.
The foregoing requirements apply to all contracts, including, but not limited to, contracts
between Customer and a reseller who attempts to pass through documents and obligations
from its Manufacturer of Publisher.
8. Authorized Exceptions to Appendix A, Standard Terms and Conditions for Product and
Related Services Contracts.

Staff requests City Council consider approving a contract instructor service agreement
with Julia Geske for tennis instruction services at the Richland Tennis Center in an
amount not to exceed $99,000 for FY2024.
GENERAL DESCRIPTION:
The Parks and Recreation Department, Richland Tennis Center utilizes the services of
Julia Geske for tennis instruction. Julia is a Professional Tennis Registry Certified Tennis
Professional with nearly 8 years of teaching experience. Julia has quickly developed a
strong adult and youth instruction following for both private and group lessons. Julia
continues to be a great representative of Richland Tennis Center and provides excellent
instruction, customer service, guest follow-up and communication. Contract instructor
services include private instruction, small and large group instruction, as well as
tournament site operation coordination.
In recent years the Richland Tennis Center staffing structure has evolved from full-time
staff tennis instructors to contract instructors to support an increase in instruction-based
program cost recovery. The use of contract instruction has allowed for increased
instructional capacity allowing for more instruction-based program offerings and
availability. All tennis instruction at Richland Tennis Center and NRH Park courts must be
coordinated through Richland Tennis Center which allows for consistent program
enrollment, program advertising and minimizes scheduling conflicts for court time. In
FY2023 Julia Geske tennis instruction generated over $135,000 in revenue. All
instructional services are not paid to instructors until funds have been collected through
Richland Tennis Center program and instructional enrollment completion.
Annual instructor agreement terms are per fiscal year. This item is to award a seven (7)
month contract with term of March 1, 2024 through September 30, 2024.
RECOMMENDATION:
Approve contract instructor service agreement with Julia Geske for providing tennis
instruction services at the Richland Tennis Center in an amount not to exceed $99,000
for FY2024.

Section 3. Joint Election Agreements Extended. The City exercises its option to
extend the terms of the joint election agreement and contract for election
services approved by the City Council at its January 22, 2024 meeting to
the June 15, 2024 runoff election. The election shall be conducted pursuant
to the election laws of the State of Texas.
Section 4. Early Voting.
a. Early voting by personal appearance. Early voting by personal
appearance will be held jointly with other political subdivisions in Tarrant
County beginning on June 3, 2024 and will continue through June 11,
2024 at the locations established by Tarrant County for the runoff

c. Early voting by Ballot Board. Early voting, both by personal
appearance and by mail, shall be canvassed by the Early Voting Ballot
Board, which is hereby created. The Presiding Election Judge and
Alternate Presiding Election Judge, as set forth in the Agreements, shall
serve as the presiding officer and alternate presiding officers,
respectively, of the Early Voting Ballot Board. The other election officers
serving at the election shall serve as the other members of the Early
Voting Ballot Board.
Section 5. Method of Voting. Early voting by personal appearance and voting on
Election Day Hart
InterCivic Verity Voting System. All expenditures necessary for the conduct
of the election, the purchase of materials therefore, and the employment of
all election officials are hereby authorized, and shall be conducted in
accordance with the Agreements and the Code.
Section 6. Governing Law and Qualified Voters. The election shall be held in
accordance with the Constitution of the State of Texas and the Code, and
all resident qualified voters of the City shall be eligible to vote at the election.
Section 7. Publication and Posting of Notice of Election. Notice of the election
shall be given as required by Chapter 4 of the Code.
Section 8. Necessary Actions. Tarrant County will provide all material, supplies and
personnel to hold the runoff election, and will be responsible for
coordinating, supervising and administering the joint election. This
resolution shall be construed with any action of the governing bodies of
other Tarrant County political subdivisions providing for the conduct of a
joint election as herein contemplated. The Mayor and the City Secretary of
the City, in consultation with the City Attorney, are hereby authorized and
directed to take any and all actions necessary to comply with the provisions
of the Code in carrying out and conducting the election, whether or not
expressly authorized herein.

Matt Hall in Neighborhood Services A resident emailed their appreciation for Matts
response to their code compliance concerns. The email stated: "We have had two
different concerns that we have contacted the city about. Both times we were contacted
within 24 hours about the issue and plans to fix the situation. I just want you to know
what a great job \[Matt\] is doing. Our voices have been heard and things have been
resolved. \[He\] even took measures on other things he saw that we didn't ask for.
Keeping our city safe and looking nice is a priority and I'm thankful NRH is doing that."
